Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you") and Bidovate ("Company," "we," "us"), governing your access to and use of the Bidovate AI-powered procurement intelligence platform (the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.
Description of Service
Bidovate provides a software-as-a-service (SaaS) platform for AI-driven procurement intelligence, including opportunity discovery, analysis, document generation, and bid management tools. The Service is provided on a subscription basis as described in the applicable order form or pricing page.
Account Registration and Security
You must provide accurate, current, and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
Subscription and Payment
- Subscriptions are billed in advance on a monthly or annual basis as selected at sign-up
- All fees are quoted in US Dollars and are exclusive of applicable taxes
- We reserve the right to modify pricing with 30 days' advance notice
- Failure to pay may result in suspension or termination of access
Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Upload malicious code, viruses, or harmful content
- Share account credentials with unauthorized individuals
- Use the Service to engage in fraudulent bidding practices or bid rigging
- Resell, sublicense, or redistribute the Service without written authorization
- Scrape, crawl, or extract data from the Service by automated means beyond normal use
Intellectual Property
All content, features, and functionality of the Service (including but not limited to software, algorithms, designs, text, graphics, and trademarks) are owned by Bidovate and protected by United States and international intellectual property laws.
Your data remains your property. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service. We claim no ownership over your content.
Government Contractor Usage
If you are a US government entity or contractor, additional terms may apply. The Service is provided as a "commercial item" as defined in FAR 2.101, and constitutes "commercial computer software" under FAR 12.212 and DFARS 227.7202. Government users acquire only those rights specified in these Terms, consistent with applicable federal acquisition regulations.
Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and not to disclose it to any third party without prior written consent, except as required by law.
Warranties and Disclaimers
We warrant that the Service will perform materially in accordance with its documentation. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIDOVATE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNTS PAID BY YOU DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL BIDOVATE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Indemnification
You agree to indemnify and hold harmless Bidovate from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Termination
Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately for material breach, including non-payment or violation of the Acceptable Use policy. Upon termination, you may request export of your data within 30 days.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.
Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use of the Service after the effective date of changes constitutes acceptance.
